Job Title: Solicitor

The candidate will have a commercial focus with significant experience in negotiating commercial contracts, licensing agreements for telecommunications infrastructure, contentious litigation matters, corporate restructuring and corporate governance. The successful candidate will give practical advises to the executive management team and the board in respect of contract terms and conditions to align with group tolerances on liabilities, indemnities and obligations.
Key Tasks and Responsibilities:
Commercial Contracts & Agreements: Drafting and negotiating various commercial contracts on behalf of all group companies, including master service agreements, supply agreements and various contractual documentation with major commercial clients. Draft and align sub-contract agreements to mitigate risks to group companies. Liaising with the company directors, project managers, technical departments and external parties in relation to the specific requirements of the contracts, from initial draft to successful completion highlighting and minimizing any potential risks.
General Corporate and Compliance matters: Drafting and advising group companies on corporate compliance, general business areas and all litigation matters on behalf of the group.
Employment matters: Dealing with HR department in respect of contracts of employment for employees, contracts for service for consultants and independent contractors. Ensuring compliance with employment legislation, handling employee issues in respect of various contentious and non-contentious employment matters.
Leasing & Licensing: Drafting and negotiating terms of leases between solicitors for respective land owners. Assisting in the planning process with submissions in respect of the communications facilities to County Councils and An Bord Pleanala. Licensing of communications facilities to telecoms operators.
Banking/Finance: Advising group companies on implementing security documents required by financial institutions in securing finance, the various legislative requirements and the requirements of CRO.
Provide guidance and support to key group personnel with regard to Company contractual risks, liabilities, obligations, indemnities and conditions precedent T&C’s for compliancy.
Provide ad hoc support to wider business in relation to commercial / legal matters and queries as directed by Senior Management
Skills & Experience Required:
The successful candidate will be a qualified Solicitor in Ireland.
Qualified to practice in England & Wales would be a distinct advantage.
